Welcome to koalateesinc.com and any related online store, checkout page, quote form, customer portal, or service operated by Koala-Tees Inc. (“Koala-Tees,” “Company,” “we,” “us,” or “our”).
These Terms of Use (“Terms”) govern your access to and use of our website, online store, quote tools, custom apparel services, artwork services, ordering process, and related services. By accessing our website, requesting a quote, uploading artwork, placing an order, approving a proof, or otherwise using our services, you agree to these Terms and to our related policies, including our:
- Privacy Policy
- Refund, Cancellation, and Return Policy
- Delivery and Turnaround Policy
- Color, Artwork, Mockup, and Production Disclaimer
- Any written quote, invoice, proof, approval, or order-specific terms provided to you
If you do not agree with these Terms, please do not use our website or place an order.
1. Eligibility and Legal Capacity
By using our website or placing an order, you represent that you are at least 18 years old or have the legal authority and capacity to enter into a binding agreement.
If you place an order on behalf of a business, organization, school, team, nonprofit, government entity, or other group, you represent that you have authority to approve the order and bind that organization to these Terms.
Our website and services are not directed to children under 13.
2. Use of the Website
You agree to use our website and services only for lawful purposes.
You may not:
- Violate any applicable law, rule, or regulation
- Submit false, misleading, fraudulent, or inaccurate information
- Interfere with the operation, security, or functionality of the website
- Attempt to gain unauthorized access to any system, account, data, or network
- Upload malicious code, viruses, malware, or harmful files
- Use the website to infringe the rights of Koala-Tees, our customers, or any third party
- Use the website for unauthorized scraping, data harvesting, spam, or commercial solicitation
- Abuse quote forms, checkout tools, customer-service systems, or artwork upload features
We may restrict, suspend, or refuse access to the website or services when reasonably necessary to protect our business, customers, systems, legal rights, or other users.
3. Products and Services
Koala-Tees Inc. provides custom apparel, decorated products, and related services. These may include screen printing, embroidery, DTF printing, DTG printing, promotional products, artwork review, design assistance, vectorization, proofing, production preparation, and other custom services.
Most products and services we provide are custom-made for each customer. Custom products may not be returnable, refundable, cancelable, or resellable once approved, ordered, prepared, or placed into production, except as stated in our Refund, Cancellation, and Return Policy or as required by applicable law.
4. Quotes, Estimates, and Pricing
Quotes and estimates are based on the information available at the time they are provided. Pricing may depend on product availability, garment style, quantity, sizes, decoration method, artwork complexity, ink colors, stitch count, production method, rush timing, shipping, taxes, and other order details.
Quotes may change if:
- Order details change
- Artwork requires additional work
- Product availability changes
- Garment sizes, quantities, styles, or colors change
- Rush service, shipping, or delivery requirements change
- Supplier pricing or availability changes
- Taxes, fees, or production requirements change
- The original quote contained an error
A quote is not final until accepted by Koala-Tees Inc. and confirmed through an invoice, order confirmation, written approval, or checkout process.
5. Orders and Acceptance
All orders are subject to acceptance by Koala-Tees Inc.
We may decline, cancel, pause, or request clarification on an order when reasonably necessary, including when:
- Product is unavailable
- Artwork is missing, low-quality, unusable, inappropriate, or legally questionable
- Required information has not been provided
- Payment or deposit has not been received
- Fraud, chargeback risk, or payment issues are suspected
- The order violates these Terms or another company policy
- The order appears to infringe intellectual property rights or other legal rights
- The order contains obscene, hateful, threatening, harassing, illegal, or otherwise inappropriate content
- A pricing, product, shipping, tax, or website error occurs
- We are unable to meet the requested deadline
If we cancel an order after payment has been made, we will provide an appropriate refund for amounts paid for unfulfilled goods or services, subject to our Refund, Cancellation, and Return Policy and applicable law.
6. Payment and Deposits
Payment terms may vary by order. Some orders require full payment before production. Other orders may require a deposit before production, with the remaining balance due before pickup, shipment, delivery, or release of goods.
Payments may be processed through InkSoft Payments, our in-house card-processing system, or other payment processors. Payment processing may be subject to the terms and privacy practices of those payment providers.
An order is not considered Production Ready until required payment or deposit has been received, along with all required artwork, information, and approvals.
We may pause, delay, or refuse production, pickup, delivery, or shipment if payment is incomplete, disputed, reversed, declined, or otherwise unresolved.
7. Production Ready Status
Production does not begin simply because an order is submitted.
An order is considered Production Ready only after all required items have been completed, including:
- Artwork has been submitted
- Garment selections have been finalized
- Sizes, quantities, colors, and order details have been confirmed
- Required payment or deposit has been received
- Proofs, mockups, or checkout previews have been approved where applicable
- Shipping, pickup, or delivery details have been provided
- Any other information needed to complete production has been received
Turnaround times begin only once an order becomes Production Ready.
Orders waiting on artwork, payment, approval, product selection, sizing, shipping information, or other required details are not considered in production and do not count toward turnaround timelines.
8. Artwork, Logos, Designs, and Customer Content
When you submit artwork, logos, images, text, names, numbers, trademarks, slogans, files, mockups, design instructions, or other content (“Customer Content”), you represent and warrant that:
- You own the content or have permission to use it
- You have the right to authorize Koala-Tees Inc. to reproduce, print, embroider, decorate, modify, prepare, and use the content for your order
- The content does not infringe any copyright, trademark, publicity right, privacy right, or other third-party right
- The content does not violate any law or regulation
- The content is not false, defamatory, threatening, harassing, hateful, obscene, or otherwise unlawful
- The information, spelling, names, numbers, artwork, and order details you provide are accurate
You grant Koala-Tees Inc. a limited license to use, reproduce, modify, adapt, prepare, display, and process Customer Content as needed to quote, proof, produce, fulfill, support, document, and maintain records for your order, including future reorders.
We may reject Customer Content that we reasonably believe is unlawful, infringing, offensive, low-quality, unusable, unsafe, misleading, or otherwise inappropriate for production.
9. Artwork Quality and File Preparation
Final production quality depends heavily on the quality of the artwork provided.
Low-resolution, pixelated, blurry, compressed, flattened, poorly separated, low-contrast, or otherwise imperfect artwork may produce lower-quality results.
Koala-Tees Inc. may assist with artwork cleanup, file preparation, vectorization, proofing, layout, or production adjustments when available. Unless specifically agreed in writing, we are not responsible for production limitations caused by poor-quality, incomplete, incorrect, or unsuitable customer-provided artwork.
We may make reasonable production adjustments to artwork or placement, including scaling, repositioning, color preparation, underbase preparation, file cleanup, or other setup changes, to help produce the order. These adjustments do not guarantee exact color, placement, sizing, or reproduction unless specifically agreed to in writing.
10. Proofs, Mockups, Checkout Previews, and Approvals
Proofs, mockups, checkout previews, and digital previews are intended to show the general concept, approximate size, approximate placement, general color direction, and overall layout of an order.
They are not guaranteed to be exact representations of final production.
Customers are responsible for carefully reviewing all proofs, mockups, checkout previews, spelling, names, numbers, colors, sizes, garment selections, placement, and order details before approval.
Approval of a proof, mockup, checkout preview, invoice, quote, or written order confirmation means you authorize Koala-Tees Inc. to produce the order based on the approved information.
Changes requested after approval may delay production, affect turnaround times, change pricing, affect rush guarantees, or be unavailable if production has already started.
11. Color, Garment, and Production Variation
Custom apparel production may involve normal variation.
Website images, product photos, digital proofs, online mockups, and screen previews are approximate. Colors may appear differently because of monitor settings, phone screens, lighting, garment dye lots, fabric type, product photography, browser settings, and production method.
Digital printing methods such as DTG, DTF, digital transfers, and certain full-color production methods may use CMYK-based processes or similar digital color systems. These methods may not perfectly reproduce RGB screen colors, neon colors, metallic colors, transparent effects, gradients, shadows, or photographic colors.
Screen printing may use Pantone/PMS references, standard ink colors, custom-mixed inks, or specialty inks depending on the order. Embroidery thread colors may not perfectly match digital artwork, Pantone colors, or screen colors.
Artwork size and placement may also vary between garment sizes, garment styles, seams, pockets, print methods, embroidery methods, and production setups.
Exact color matching, exact placement, exact sizing, press checks, test prints, samples, or Pantone/PMS matching are not included unless specifically agreed to in writing before production.
Normal production variation does not automatically qualify an order for refund, remake, discount, or cancellation. Material production errors are handled under our Refund, Cancellation, and Return Policy.
12. Turnaround, Delivery, Shipping, and Pickup
Turnaround times are governed by our Delivery and Turnaround Policy.
Standard turnaround times are estimates unless a written rush guarantee or other written guaranteed deadline applies.
Rush turnaround times begin only when the order becomes Production Ready and any applicable cutoff time has been met.
Orders may be shipped through USPS, UPS, FedEx, or other carriers, or made available for local pickup.
Koala-Tees Inc. is not responsible for carrier delays, lost packages, stolen packages, misdelivered packages, weather delays, carrier service interruptions, incorrect customer-provided addresses, or other circumstances outside our reasonable control after a package has been accepted by the carrier.
If we determine that we cannot meet a promised or guaranteed production or shipping timeline, we will notify the customer and provide available options as required by applicable law and our Delivery and Turnaround Policy.
13. Refunds, Cancellations, Returns, and Remedies
Refunds, cancellations, returns, reprints, repairs, store credits, and other remedies are governed by our Refund, Cancellation, and Return Policy.
Because most products are custom-made, orders may not be eligible for cancellation, return, or refund once approved, prepared, ordered, or placed into production.
If Koala-Tees Inc. makes a material production error, produces an order that materially differs from approved order details, fails to meet an applicable written rush guarantee due to circumstances within our reasonable control, or cannot fulfill an order, we will review the issue and determine an appropriate remedy consistent with our policies and applicable law.
Possible remedies may include repair, replacement, reprint, partial refund, full refund, refund of rush fees, store credit, partial delivery, revised timeline, or another reasonable solution.
14. Customer Responsibilities
You are responsible for:
- Providing accurate contact, billing, shipping, and pickup information
- Providing accurate artwork, spelling, names, numbers, sizes, colors, quantities, and order details
- Reviewing and approving proofs, mockups, checkout previews, invoices, and confirmations
- Responding promptly to approval requests, artwork questions, payment requests, and production questions
- Making sure you have rights to use submitted artwork, logos, trademarks, images, and text
- Providing usable artwork or requesting artwork services when needed
- Reviewing applicable policies before placing or approving an order
- Picking up local pickup orders within a reasonable time after notification
- Inspecting orders promptly after pickup or delivery and notifying us of issues as soon as possible
Koala-Tees Inc. is not responsible for delays, errors, or additional costs caused by inaccurate, incomplete, late, or incorrect information provided by the customer.
15. Customer-Provided Goods
If Koala-Tees Inc. agrees to decorate customer-provided garments, products, blanks, or materials, the customer understands that decoration involves risk.
Customer-provided goods may be affected by ink, thread, heat, pressure, pretreatment, adhesives, curing, embroidery, equipment, spoilage, defects, fabric limitations, or other production factors.
Unless specifically agreed to in writing, Koala-Tees Inc. is not responsible for replacing customer-provided goods that are damaged, spoiled, defective, incompatible, or unsuitable for the requested decoration method.
We may refuse customer-provided goods if we believe they are unsuitable for production.
16. Intellectual Property Owned by Koala-Tees Inc.
The website and its content, including text, graphics, images, layouts, designs, software, logos, icons, product photos, service descriptions, and other materials, are owned by Koala-Tees Inc. or our licensors and are protected by copyright, trademark, and other laws.
You may not copy, reproduce, distribute, modify, display, sell, license, or otherwise use our website content without our prior written permission.
Nothing in these Terms transfers ownership of Koala-Tees Inc.’s intellectual property to you.
17. Use of Completed Work in Marketing
Unless you tell us otherwise in writing, Koala-Tees Inc. may photograph or display completed custom products for portfolio, sample, social media, website, advertising, or marketing purposes.
We will not intentionally disclose sensitive personal information in marketing images. If you do not want your order photographed or displayed, please notify us in writing before production is completed.
This section does not give Koala-Tees Inc. ownership of your trademarks, logos, or artwork. It only allows us to show examples of work we produced unless you opt out.
18. Privacy, Cookies, AI, and Data Processing
Our collection, use, sharing, and protection of personal information is described in our Privacy Policy.
By using our website, requesting a quote, uploading artwork, placing an order, communicating with us, or interacting with our ads, you understand that we may process personal information, order information, payment-related information, uploaded artwork, customer messages, website activity, advertising data, and related information as described in our Privacy Policy.
We may use AI-assisted tools, automation tools, artwork tools, and software assistants to help with quoting, customer support, pricing assistance, email drafting, artwork review, file cleanup, production preparation, workflow organization, and related business purposes, as described in our Privacy Policy.
19. Third-Party Services
Our website and services may use, link to, or integrate with third-party services, including InkSoft, payment processors, shipping carriers, Google services, Meta/Facebook/Instagram services, AI tools, advertising platforms, analytics tools, social media platforms, cloud storage providers, and other business tools.
We are not responsible for the content, policies, availability, security, or practices of third-party services. Your use of third-party services may be governed by their own terms and privacy policies.
20. Errors, Availability, and Website Information
We try to keep website information accurate, but errors may occur.
Product descriptions, prices, availability, shipping options, turnaround estimates, images, colors, specifications, and other website information may contain errors, omissions, or outdated information.
We may correct errors, update information, cancel affected orders, revise quotes, or contact customers to resolve issues when appropriate.
Product availability is not guaranteed until confirmed. Garment styles, colors, sizes, and quantities may become unavailable through suppliers.
21. Promotions, Discounts, and Gift Cards
Promotions, discounts, coupons, credits, and gift cards may be subject to additional terms, expiration dates, exclusions, minimums, or limitations.
Unless otherwise stated, promotions cannot be combined, applied retroactively, redeemed for cash, or used for taxes, shipping, prior orders, special-order items, or certain services.
We may modify or discontinue promotions where permitted by law.
22. No Professional Advice
Information on our website or provided by our team is for general business, product, and service purposes only. It is not legal, tax, accounting, licensing, trademark, copyright, or professional advice.
Customers are responsible for obtaining any legal permissions, licenses, trademark rights, copyright permissions, or approvals needed for their submitted artwork, logos, slogans, images, or designs.
23. Disclaimer of Warranties
To the fullest extent permitted by law, our website and services are provided on an “as is” and “as available” basis.
Koala-Tees Inc. does not guarantee that the website will be uninterrupted, error-free, secure, or available at all times.
Except as expressly stated in a written order confirmation, written guarantee, or applicable policy, we disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow certain warranty limitations, so some limitations may not apply to you.
24. Limitation of Liability
To the fullest extent permitted by law, Koala-Tees Inc. will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, missed events, missed deadlines, or reputational harm, arising out of or related to your use of the website, services, products, or custom orders.
To the fullest extent permitted by law, our total liability for any claim related to an order will not exceed the amount you paid to Koala-Tees Inc. for the specific products or services giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
25. Indemnification
You agree to defend, indemnify, and hold harmless Koala-Tees Inc., its owners, officers, employees, contractors, agents, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use of the website or services
- Your violation of these Terms or any related policy
- Your submitted artwork, logos, images, text, files, or Customer Content
- Any claim that Customer Content infringes or violates a third party’s rights
- Incorrect, incomplete, or unauthorized information you provide
- Your violation of any law, regulation, or third-party right
26. Governing Law and Venue
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
Subject to any rights you may have under applicable consumer protection laws, any dispute arising out of or related to these Terms, the website, or our services shall be brought in the state or federal courts located in Salt Lake County, Utah.
27. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date.
Changes apply to future website use and future orders placed after the updated Terms become effective. Material changes will not apply retroactively to orders already placed unless permitted by law or agreed to by the customer.
